Position Overview

Primary Purpose of the Position Winston Salem State University invites applications for the position of General Counsel. The General Counsel reports directly to the Chancellor and serves as the chief campus legal advisor to the Chancellor, the Board of Trustees, and senior academic and administrative officers on a broad range of laws, regulations, and policies that impact the university. The position serves as the university’s ethics officer and ethics liaison to the North Carolina State Ethics Commission. The position also serves as the university liaison for legal, regulatory and related policy matters to the University of North Carolina and the North Carolina Attorney General’s Office.

The General Counsel is a member of the Chancellor’s Executive Staff and serves as the campus legal advisor to the Chancellor, Board of Trustees, and Senior Academic and Administrative Officers on a variety of areas routinely handled by the Office of Legal Affairs. Areas of responsibility may include labor and employment, contracts, student discipline and affairs, discrimination, governance, corporate law, constitutional law, civil rights, policy development and review, open meetings, public records, information security, law enforcement, administrative litigation and law, litigation management, compliance, risk management, tax, tax-exempt financing, healthcare, athletics, construction, real estate, intellectual property, technology transfer, sponsored research, information technology, immigration, utilities, and ethics/conflicts of interest.

This position requires excellent judgment, leadership capabilities, critical thinking, strong writing and reasoning skills, persuasiveness, the ability to command respect, and unquestioned integrity. The Office of Legal Affairs is a fast-paced, high-volume, intellectually challenging work environment that requires its attorneys to be available whenever university officials need assistance.

The Chief Legal Counsel is expected to work at the highest professional level with integrity, excellent judgment, attention to detail, and discretion; and to demonstrate the highest personal and leadership characteristics of teamwork, inclusiveness, and adaptability to a broad range of issues, people, and situations. With emphasis on the management of all legal matters that affect the university.

Preferred Years Experience, Skills, Training, Education •Graduation from a law school accredited by the American Bar Association
•Be a member in good standing of the North Carolina bar or eligible to practice law in the State of North Carolina following successful admission to practice law in North Carolina within one year of employment.
•Minimum of 7 years of progressively demonstrated senior level responsibility in the delivery of sophisticated legal services, at least 5 years of which should be in a higher education setting.
•Diversified and substantial legal experience as General Counsel in a college, university, non-profit organization, government agency, or in a top law firm.
•Exceptional analytical, interpersonal, and written and oral communication skills, as well as sound judgment and personal and professional integrity.
•Proven success in providing legal guidance in the context of complex organizations and a deeply held commitment to and belief in the value of collaborative decision-making.
•Ability to work collaboratively and to communicate effectively with multiple and diverse constituencies, such as faculty, staff, students, alumni, campus leadership, legislators, corporate partners, community leaders, and the public.
•High ethical standards with a strong commitment to legal ethics exhibited in knowledge, practice, and professional responsibility.
Required License or Certification Graduation from law school and accredited by the American Bar Association. Must also be licensed to practice law in the State of North Carolina.

Primary Responsibilities and Duties

Describe the specific job duties related to this competency Description of Responsibilities and Duties: A. Coordinate all legal matters that affect the university. B. Prepare legal opinions on matters which have legal ramifications for the university. C. Draft comments for the university’s spokespersons on legislation which affects, or potentially affects, the university and its constituencies. D. Review all procedures and documents that have legal implications for the university to ensure compliance with all applicable state, federal, and/or local laws and/or policies. E. Advise the Chancellor and other university officials regarding their potential actions and the legal ramifications thereof. F. Investigate and report matters of legal controversy involving the university. G. Represent the university as legal counsel in all matters except those matters involving the Attorney General’s Office and UNC General Administration. H. Negotiate, draft, review, and prepare contracts and other documents between the university and other parties. I. Serve as legal liaison between the university and legal representatives of UNC General Administration and the State of North Carolina. J. Provide procedural clarification to all WSSU grievance committees and persons appearing before such committees. K. Serve as ex-officio member of university committees as designated by the Chancellor of WSSU. L. Perform other duties and functions directed by the Chancellor.

Introduction: The Office of General Counsel is recruiting for an Assistant General Counsel. Interested candidates should have a strong desire to develop goals that will advance the mission of the department, at one of the Nation’s largest Historically Black Colleges and Universities (HBCU).

Duties: Providing written and oral legal advice; conducting legal research and analysis; training University staff on current laws and regulations impacting assigned areas; managing a portfolio focusing primarily on the areas of procurement, contract review and development, business transactions, intellectual property, student affairs, compliance, legislative affairs, risk management and insurance, public records, litigation support, general education issues, etc. and performing other duties as assigned.

Minimum Qualifications: The successful candidate will have a Juris doctorate from a law school accredited by the American Bar Associate and at least 3 years of experience practicing law.

Preferred Qualifications: In addition to the minimum qualifications, experience practicing law in a higher education setting or with higher education clients.

Requirements: Licensed to practice law and is in good standing in Maryland, or eligible to be licensed in Maryland within 1 year from the date of employment; knowledge of constitutional law and education law; knowledge of contract review and negotiation; the ability to litigate or provide litigation support; excellent written and oral communication skills; the ability to research complex legal issues and prepare legal opinions and documents.
